Terms of Service

By accessing and using the Valley Fulfillment website and software platform (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. In addition, when using this Service, you shall be subject to any posted guidelines or rules applicable to such Service.

Valley Fulfillment provides inventory management, order tracking, reporting, and fulfillment coordination through its proprietary web-based platform. We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice.

You agree to use the Service only for lawful purposes. You are strictly prohibited from using the Service to facilitate the storage or transport of hazardous materials, illegal goods, or any items that violate the policies of major shipping carriers.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to immediately notify Valley Fulfillment of any unauthorized use of your account or any other breach of security.

Some features of the Service may require payment of fees. All fees are stated in U.S. Dollars and must be paid in accordance with the billing terms presented to you at the time of purchase. Failure to pay fees may result in suspension of your account.

The Service and its original content, features, and functionality are owned by Valley Fulfillment and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You retain ownership of any data, information, or material you submit to the Service in the course of using the Service ("User Content"). You grant Valley Fulfillment a worldwide, non-exclusive, royalty-free license to use, reproduce, and process the User Content solely for the purpose of providing the Service.

You agree not to engage in any of the following prohibited activities: (a) copying, distributing, or disclosing any part of the Service in any medium; (b) using any automated system, including "robots," "spiders," etc., to access the Service; (c) attempting to interfere with the system integrity or security.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VALLEY FULFILLMENT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL VALLEY FULFILLMENT, ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

You agree to defend, indemnify and hold harmless Valley Fulfillment and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

These Terms shall be governed and construed in accordance with the laws of Arizona, United States, without regard to its conflict of law provisions.
